Affiliate Program Terms

1. Program Overview

The ViralWave Studio affiliate program allows approved participants to refer customers to ViralWave Studio and earn commissions on qualifying subscriptions. The Program is open to individuals and entities who apply through our designated affiliate platform (Endorsely). Who can apply may be restricted by jurisdiction or other criteria we establish.

Acceptance is subject to approval. ViralWave Studio reserves the right to approve or deny any affiliate application for any reason, at its sole discretion. We may reject or remove affiliates at any time, with or without cause or prior notice.

2. Commission Structure

Commission is paid at 30% of the referred customer's subscription revenue. This rate applies to eligible paid subscription plan(s) as designated by ViralWave Studio (e.g., Pro Plan and other qualifying plans we may add).

• Currency: All commissions are calculated and paid in United States Dollars (USD, $).
• Type: Recurring commission (lifetime recurring for the duration of the referred customer's active, paid subscription).
• When commission begins: Commission accrues only after the referred customer's payment has cleared and the subscription is active.
• Free signups: No commission or reward is paid for free signups; commission is earned only on qualifying paid subscriptions.
• Refunds: Refunded subscriptions void commission for the refunded amount. No commission is owed on refunded revenue.
• Net revenue: Commission is paid only on net revenue actually received by ViralWave Studio (after refunds, chargebacks, and payment processor fees as applicable).
• Active subscriptions only: Commission applies only to subscriptions that remain active and paid. If a referred customer cancels, downgrades, or fails to pay, commission stops for that customer accordingly.

3. Tracking & Attribution

ViralWave Studio's tracking system is the sole authority for referral attribution. This is critical: disputes over who referred a customer are determined exclusively by our tracking data.

• Unique link required: Referrals must use the affiliate's unique tracking link (or approved tracking method we provide). If a referral signs up without using the affiliate's unique link, no commission is owed to that affiliate for that customer.
• No manual attribution: We do not manually attribute referrals to an affiliate unless pre-approved in writing by ViralWave Studio (e.g., for a specific, documented campaign). Absent such written approval, attribution is determined solely by our tracking system.
• Cookie duration: Attribution is subject to our cookie (or equivalent tracking) duration, which we may set (e.g., 30 days, 60 days) and update. Only referrals that convert within the applicable tracking window are eligible for commission.

Any attempt to circumvent or manipulate tracking (e.g., cookie stuffing, false claims of referral) is prohibited and may result in immediate termination and forfeiture of commissions.

4. Payment Terms

• Currency: All payouts are made in USD ($).
• Payout schedule: Payouts follow a Net-30 schedule (e.g., December commissions are paid by approximately January 30). Commissions earned in a given month are paid approximately 30 days after the end of that period, unless we specify otherwise.
• Minimum payout: The minimum commission balance required for payout is $100 USD. Commissions below this threshold roll over until the threshold is met.
• Payment method: Payments are made via the method we support (e.g., Stripe, PayPal, ACH), as configured in the affiliate dashboard. Affiliates are responsible for providing accurate, up-to-date payment details.
• Taxes: Affiliates are responsible for all taxes (income, self-employment, or otherwise) arising from commission payments. We may collect tax forms or information as required by law.
• Chargebacks and fraud: Chargebacks and fraudulent or disputed payments void commission for the affected transaction. We may claw back commission already paid if we later determine a sale was fraudulent or charged back.
• Refunded subscriptions: As stated in Section 2, refunded subscriptions void commission for the refunded amount.

5. Prohibited Activities

The following are prohibited and may result in immediate termination and forfeiture of commissions:

• Self-referrals or using your own affiliate link to purchase for yourself.
• Incentivized signups (e.g., paying for clicks or signups) without clear, compliant disclosure where required.
• Misrepresentation of ViralWave Studio's products, pricing, or capabilities.
• False or misleading claims about the Program or earnings potential.
• Spam (unsolicited messages, bulk emails, or similar) to promote ViralWave Studio.
• Trademark bidding in paid search or ads (e.g., bidding on "ViralWave Studio" or our marks) unless expressly permitted in writing.
• Cookie stuffing or any manipulation of tracking or attribution.
• Any attempt to circumvent or manipulate our tracking systems.

Any attempt to circumvent tracking systems will result in immediate termination.

6. Suspension & Termination

ViralWave Studio reserves the right to suspend or terminate any affiliate relationship at its sole discretion, with or without cause and with or without prior notice.

• Upon suspension or termination, future commissions stop accruing.
• Existing valid earned commissions (that have not been voided for fraud, chargeback, or refund) will be paid in accordance with these terms and our payment schedule.
• Commissions that we determine to be fraudulent or earned in violation of these terms are forfeited.

7. Modification of Terms

We may update these Affiliate Terms, including commission rates, payout thresholds, program structure, and eligibility, at any time. We may modify or discontinue the Program in whole or in part. Continued participation after changes constitutes acceptance of the updated terms. We encourage you to review these terms periodically. Material changes may be communicated via email or through the affiliate dashboard where feasible.

8. Relationship of Parties

Affiliates are independent contractors, not employees, agents, or partners of ViralWave Studio. Nothing in these Affiliate Terms creates a partnership, joint venture, or employment relationship. Affiliates have no authority to bind ViralWave Studio or make commitments on its behalf.

9. Limitation of Liability

To the fullest extent permitted by law, ViralWave Studio is not liable for: (a) any tracking errors, technical failures, or attribution issues; (b) any indirect, incidental, special, consequential, or punitive damages; (c) any loss of income, revenue, or profits in connection with the Program. We do not guarantee any level of earnings. Participation in the Program is at your own risk.

10. Dispute Resolution

These Affiliate Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any dispute arising from or relating to the Program or these terms shall be resolved in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction and venue therein. We may, at our option, require that disputes be resolved by binding arbitration under applicable rules. Any claim or dispute must be raised within thirty (30) days after the relevant payout or event giving rise to the dispute; failure to do so may waive the claim.

Goodwill / Manual Attribution

In the event a referral does not properly track through the affiliate's unique link, ViralWave Studio may, at its sole discretion, choose to issue a commission as a goodwill gesture. Such goodwill payments do not establish precedent and do not obligate ViralWave Studio to manually attribute future referrals.
